Hubbell to acquire NSI Industries for $3 billion

The sale caps Sentinel’s two-year ownership, during which it divested an HVAC unit to sharpen NSI’s focus on electrical components.

Sentinel Capital Partners’ wager on a pure-play electrical products strategy culminated this week with a definitive agreement to sell NSI Industries to Hubbell Incorporated for $3 billion.

The transaction, inked on May 6, positions the Huntersville, North Carolina company within a larger publicly traded electrical and utility solutions manufacturer that reported $5.8 billion in 2025 revenue.

NSI supplies more than 15,000 branded electrical products — including Bridgeport fittings, Polaris connectors, and Tork timers — to over 2,000 distributors across North America.

Its portfolio spans electrical fittings, connectors, components, and wire management systems serving industrial, infrastructure, and commercial markets.

Demand is underpinned by steady replacement cycles and an expanding presence in high-growth applications such as data centers and power utilities.

Sentinel acquired NSI in 2024 and immediately moved to refine its focus.

A subsequent divestiture of the company’s HVAC division to Lennox International for approximately $550 million converted NSI into a dedicated electrical components platform.

That carve-out, combined with operational support, helped unlock the valuation achieved in the sale to Hubbell.

Lincoln International and Baird served as financial advisors to Sentinel, while Kirkland & Ellis provided legal counsel.

Sentinel, which manages over $11.2 billion in capital, has a track record in electrical manufacturing and distribution through current and former investments including ECM Industries, Power Products, and Chromalox.

The deal adds NSI’s replenishment-driven electrical components to Hubbell’s portfolio of utility and electrical infrastructure products.
